License transfer is only necessary if the console is replaced. They recently have been repairing people's units over at XBOX service which does not require license transfer.

If you do receive a replacement unit from XBOX service they are supposed to automatically put you on the license transfer queue which takes 30-60 days to be completed. Sometimes this does not happen, however, and you have to request a license transfer from XBOX support.

Finally, like you stated they reject license transfers for upgrades unless you can provide paperwork showing that the upgrade was the result of an exchange due to your first console being defective. If your first console is still "in the wild," they will not do license transfers.

On the other hand, if you are always connected to the internet like most are with broadband, it does not matter too much as you always will have access to your content when logged in with your Live Silver (free) or Gold account that the content was purchased with. You only lose access when offline using a console with a different serial # than the console the content was originally purchased on.
